1. Introduction

Welcome to FluxPMS, a service provided by FluxSoft Technologies, LLC, a Delaware limited liability company ("Company", "we", "us", or "our"). By creating an account, accessing, or using our hotel management services, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you represent a hotel, business, or other entity, you confirm that you have the authority to bind that entity to these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

2. The Service

FluxPMS is a cloud-based Property Management System (PMS) provided as Software-as-a-Service (SaaS). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service solely for managing your hospitality business operations.

Service Features May Include:

  • Booking and reservation management
  • Guest management and communications
  • Channel manager integrations
  • Payment processing
  • Reporting and analytics
  • AI-powered features and recommendations
  • Website and booking engine services

3. Free Trial

  • Duration: New accounts receive a 14-day free trial with full access to all features.
  • Payment Method: No credit card required to start your trial.
  • Reminder: We will send email reminders before your trial expires (Day 10 and Day 14).
  • Cancellation: Cancel anytime during the trial and you will not be charged.
  • Post-Trial: After 14 days, your card will be automatically charged for the selected plan.
  • Trial Limitations: We reserve the right to limit or modify trial features at any time.

4. Subscription & Billing

Our current pricing is available at fluxpms.com/pricing. Prices are subject to change with 30 days notice.

Billing Terms

  • Service is billed in advance on a monthly or annual basis.
  • All fees are non-refundable except as expressly stated in these Terms.
  • Plans have limits on Rooms and Properties. We may restrict resource creation if limits are exceeded.
  • Prices may change with 30 days email notice. Continued use constitutes acceptance.
  • All prices are in US Dollars unless otherwise specified.

Promotional Codes & Discounts

  • Promotional codes ("coupons") may be offered at our discretion.
  • Coupons are subject to specific terms, expiration dates, and eligibility requirements.
  • Coupons cannot be combined unless explicitly stated.
  • We reserve the right to modify or cancel promotions at any time.
  • Abuse of promotional codes may result in account termination.
  • Promotional pricing does not apply to renewals unless specified.

Refunds

  • 7-Day Money-Back Guarantee: New paying customers may request a full refund within 7 days of first payment by contacting [email protected].
  • Annual Plans: Pro-rated refunds available within first 30 days only.
  • Monthly Plans: No refunds after the 7-day guarantee period.
  • Chargebacks: Filing a chargeback without first contacting us may result in immediate account termination.

5. Payment Failure & Account Suspension

  • If payment fails, we will automatically retry daily for up to 5 days.
  • After 5 failed attempts, your account will be suspended.
  • During suspension, you may not be able to access your data or use the service.
  • Access will be restored immediately upon successful payment.
  • We will notify you via email of any payment issues.
  • Accounts suspended for non-payment for more than 30 days may be terminated and data deleted.

6. Account Types & Responsibilities

Account Holder (Admin)

  • The person who creates the account is the primary administrator ("Account Owner").
  • We recommend using a personal email (not a shared hotel email) to prevent unauthorized access.
  • The Account Owner is responsible for all activity under their account.
  • The Account Owner must maintain accurate and current account information.

Users (Staff)

  • Account Owners may invite additional users (Managers, Receptionists, etc.).
  • Each user has role-specific access and permissions.
  • User limits depend on your subscription plan.
  • You are responsible for ensuring your users comply with these Terms.

Account Security

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must immediately notify us of any unauthorized use of your account.
  • We are not liable for any loss arising from unauthorized use of your account.

7. Acceptable Use

You agree NOT to:

  • Use the service for any illegal purpose
  • Transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with other users' access to the service
  • Use the service to send spam or unsolicited communications
  • Violate any applicable laws or regulations
  • Resell or redistribute the service without authorization
  • Use automated scripts to access the service without permission
  • Misrepresent your identity or affiliation

8. Your Data

Ownership

  • You retain ownership of all data you input into FluxPMS ("Customer Data").
  • We process Customer Data only to provide the service and as described in our Privacy Policy.

License to Us

You grant us a limited license to use, copy, store, and process your Customer Data solely to provide and improve the service.

Data Portability

  • You may export your data at any time using our export features.
  • Upon request, we will provide your data in a standard format.

Data Deletion

  • Upon account termination, your data will be deleted within 90 days.
  • Some data may be retained longer if required by law.
  • Backup copies may persist for up to 30 additional days.

Your Compliance Obligations

  • You are responsible for complying with all applicable laws regarding your Customer Data.
  • This includes but is not limited to: guest registration requirements, tax collection, data protection laws (GDPR, CCPA), and industry regulations.
  • We are not responsible for your compliance failures.

9. AI-Powered Features

Disclosure

FluxPMS may use artificial intelligence and machine learning ("AI") to provide certain features, including but not limited to:

  • Automated recommendations
  • Content generation
  • Sales and marketing assistance
  • Data analysis and insights

AI Limitations

  • AI-generated content may contain errors or inaccuracies.
  • You are responsible for reviewing and verifying AI-generated content before use.
  • AI features are provided "as is" without warranty.
  • We may use third-party AI providers (such as Anthropic) to power these features.

10. Third-Party Services & Integrations

  • FluxPMS integrates with third-party services (payment processors, channel managers, etc.).
  • Your use of third-party services is subject to their own terms and privacy policies.
  • We are not responsible for third-party service availability, performance, or actions.
  • Third-party integrations may be modified or discontinued at any time.

11. Service Level & Availability

Uptime Target

  • We aim for 99.9% uptime availability.
  • Scheduled maintenance will be announced in advance when possible.

Service Credits

  • In the event of significant unscheduled downtime (more than 4 consecutive hours), you may request a pro-rated service credit for that month.
  • Credits must be requested within 30 days of the incident.
  • Credits are applied to future billing, not refunded as cash.

Exclusions

We are not liable for outages caused by:

  • Third-party providers (hosting, payment gateways, integrations)
  • Internet connectivity issues
  • Force majeure events
  • Your equipment or software
  • Scheduled maintenance
  • Actions by you or your users

12. Intellectual Property

Our IP

  • FluxPMS, including its software, design, logos, and documentation, is owned by FluxSoft Technologies, LLC.
  • You may not copy, modify, distribute, or reverse engineer any part of the service.
  • "FluxPMS" and "FluxSoft" are trademarks of FluxSoft Technologies, LLC.

Feedback

If you provide feedback, suggestions, or ideas about the service, you grant us a perpetual, royalty-free license to use them without obligation to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • THIS INCLUDES BUT IS NOT LIMITED TO: LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
  • SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless FluxSoft Technologies, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any applicable laws
  • Your Customer Data
  • Any claim by a third party related to your use of the service

15. Termination

By You

  • You may cancel your subscription at any time from Settings or by contacting support.
  • Upon cancellation, you retain access until the end of your current billing period.
  • No refunds for partial periods unless specified in Section 4.

By Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your payment fails repeatedly
  • Required by law
  • We discontinue the service (with 30 days notice)

Effect of Termination

Upon termination:

  • Your right to use the service ends immediately
  • You remain liable for any outstanding fees
  • Sections 7, 12, 13, 14, 16, and 17 survive termination

16. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Arbitration Agreement

PLEASE READ CAREFULLY. THIS AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising from these Terms or your use of the service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, USA. The arbitrator's decision shall be final and binding.

Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATION.

Exceptions

The following may be brought in court:

  • Small claims court actions
  • Injunctive relief for intellectual property infringement
  • Actions required by applicable law

17. General Provisions

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FluxSoft Technologies, LLC regarding the service.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign these Terms without our consent. We may assign our rights without restriction.

Notices

We may send notices via email or through the service. You must send legal notices to our address below.

Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.

18. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email at least 30 days in advance. Continued use after changes take effect constitutes acceptance. If you do not agree to the changes, you must stop using the service.
